JUSTRADE TERMS OF SERVICE

Effective Date: March 23, 2026

 

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and CarPair, LLC, a Delaware limited liability company doing business as “JusTrade” (“JusTrade,” “Company,” “we,” “us,” or “our”), governing your access to and use of the JusTrade website, mobile applications, and all related services (collectively, the “Platform”).

 

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.

 

1. ACCEPTANCE OF TERMS

1.1. By creating an account, accessing, browsing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms, guidelines, or rules referenced herein.

 

1.2. If you are using the Platform on behalf of a business entity, dealership, or organization, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” and “your” shall refer to both you individually and the entity you represent.

 

1.3. Your continued use of the Platform following any modifications to these Terms constitutes acceptance of the modified Terms.

 

2. ELIGIBILITY

2.1. You must be at least eighteen (18) years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

 

2.2. You must be a legal resident of the United States or an entity organized under the laws of a U.S. state to use the Platform’s transactional features.

 

2.3. You represent and warrant that you are not prohibited from using the Platform under any applicable federal, state, or local law, regulation, or order, including but not limited to sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC).

 

2.4. Licensed motor vehicle dealers using the Platform must maintain all required federal, state, and local licenses, permits, and bonds throughout the duration of their use of the Platform and shall provide proof of such licensure upon request.

 

3. ACCOUNTS

3.1. Registration. To access certain features of the Platform, you must create an account by providing accurate, current, and complete information as prompted by the registration form. You agree to update your account information promptly to keep it accurate, current, and complete.

 

3.2. Account Security. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify JusTrade immediately at [Support Email] of any unauthorized use of your account or any other breach of security.

 

3.3. Account Types. The Platform may offer different account types, including but not limited to individual seller accounts, buyer accounts, and dealership accounts. Additional terms or requirements may apply to specific account types.

 

3.4. One Account Per User. Each individual or entity may maintain only one active account on the Platform unless expressly authorized by JusTrade in writing.

 

3.5. Account Responsibility. You are responsible for all activity conducted through your account, whether or not authorized by you. JusTrade shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

 

4. MARKETPLACE ROLE

4.1. Platform Only. JusTrade operates solely as an online marketplace platform that connects vehicle sellers with prospective buyers. JusTrade provides the technology, tools, and venue to facilitate vehicle listings, communications, and certain ancillary services. JusTrade is not a party to any transaction between Users.

 

4.2. Not a Seller, Dealer, Broker, Inspector, or Guarantor. Unless expressly stated in a separate written agreement signed by an authorized officer of JusTrade, JusTrade does not act as, and shall not be deemed to be, a:

 

(a) seller or co-seller of any vehicle;

 

(b) motor vehicle dealer, wholesaler, or retailer;

 

(c) broker, agent, or intermediary negotiating or facilitating the terms of any sale;

 

(d) vehicle inspector, appraiser, or evaluator;

 

(e) guarantor, warrantor, or insurer of any vehicle or transaction; or

 

(f) title company, escrow agent, or settlement service provider.

 

4.3. No Responsibility for Vehicles or Transactions. JusTrade is not responsible for, and makes no representations or warranties regarding:

 

(a) the condition, quality, safety, legality, or roadworthiness of any vehicle listed on the Platform;

 

(b) the accuracy, completeness, or truthfulness of any listing, description, photograph, vehicle history report, inspection report, or other information provided by Users;

 

(c) the title status, lien status, registration, emissions compliance, or ownership history of any vehicle;

 

(d) the merchantability or fitness for a particular purpose of any vehicle;

 

(e) the outcome, completion, or performance of any transaction between Users; or

 

(f) the identity, creditworthiness, reliability, or conduct of any User.

 

4.4. Independent Transactions. All transactions conducted through or facilitated by the Platform are solely between the applicable buyer and seller. Users are solely responsible for negotiating, agreeing upon, and performing all terms of their transactions, including but not limited to price, payment method, delivery, title transfer, and any warranties or representations exchanged between them.

 

5. LISTINGS AND TRANSACTIONS

5.1. Listing Content. Users who list vehicles on the Platform (“Sellers”) are solely responsible for the content, accuracy, and legality of their listings, including all descriptions, photographs, prices, vehicle identification numbers, mileage disclosures, condition reports, and any other information provided.

 

5.2. No Endorsement. The appearance of a listing on the Platform does not constitute an endorsement, recommendation, or verification by JusTrade of the listed vehicle, the Seller, or any claims made in the listing.

 

5.3. Transaction Terms. JusTrade does not set, control, or guarantee the price of any vehicle listed on the Platform. All transaction terms — including price, payment, delivery, inspection, and warranties — are determined solely by the parties to the transaction.

 

5.4. Compliance with Law. All listings and transactions conducted through the Platform must comply with all applicable federal, state, and local laws and regulations, including but not limited to the Federal Trade Commission’s Used Car Rule (16 C.F.R. Part 455), state lemon laws, odometer disclosure requirements, title transfer laws, and dealer licensing requirements.

 

5.5. Removal of Listings. JusTrade reserves the right to remove, modify, or refuse any listing at any time, for any reason or no reason, without prior notice to the Seller.

 

6. SELLER RESPONSIBILITIES

6.1. Accuracy of Information. Sellers represent and warrant that all information provided in their listings is accurate, complete, truthful, and not misleading. Sellers shall not misrepresent or omit material facts regarding the vehicle, including but not limited to its condition, mileage, history, title status, known defects, prior damage, flood or salvage history, or any other information that a reasonable buyer would consider material to the purchase decision.

 

6.2. Legal Authority. Sellers represent and warrant that they have legal authority to sell the listed vehicle, that the vehicle is free and clear of all liens, encumbrances, and security interests (unless expressly disclosed in the listing), and that the sale and transfer of the vehicle will not violate any law, regulation, court order, or third-party right.

 

6.3. Title and Documentation. Sellers are solely responsible for ensuring that they possess and can deliver good and marketable title to the vehicle, along with all required documentation for lawful transfer, including but not limited to a valid certificate of title, odometer disclosure statement, bill of sale, and any state-required smog or emissions certificates.

 

6.4. Disclosures. Sellers shall comply with all applicable disclosure requirements, including but not limited to disclosing known material defects, prior accidents, structural damage, flood damage, salvage or rebuilt title status, airbag deployment history, and any other condition that a reasonable buyer would consider material.

 

6.5. Dealer Compliance. Sellers who are licensed motor vehicle dealers shall comply with all additional obligations imposed on dealers by applicable federal, state, and local law, including but not limited to the FTC Used Car Rule Buyers Guide requirement, dealer bond requirements, and state-specific disclosure obligations.

 

6.6. Indemnification by Sellers. Without limiting the general indemnification obligations set forth in Section 14, Sellers agree to indemnify and hold harmless JusTrade from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to any listing, sale, or representation made by the Seller.

 

7. BUYER DUE DILIGENCE

7.1. Buyer’s Responsibility. Buyers acknowledge and agree that they are solely responsible for conducting their own independent due diligence before purchasing any vehicle listed on the Platform. JusTrade does not verify or guarantee any information provided by Sellers.

 

7.2. Recommended Due Diligence. JusTrade strongly recommends that Buyers, prior to completing any transaction:

 

(a) physically inspect the vehicle or hire a qualified independent mechanic or inspector to do so;

 

(b) obtain and review a vehicle history report from a reputable provider (e.g., Carfax, AutoCheck);

 

(c) verify the vehicle identification number (VIN) against the title and the physical vehicle;

 

(d) verify the odometer reading against service records and the title;

 

(e) confirm that the Seller has legal authority and good title to sell the vehicle;

 

(f) verify that the vehicle is free of liens, encumbrances, and recalls;

 

(g) review all applicable state and local requirements for title transfer, registration, and emissions; and

 

(h) verify the identity of the Seller.

 

7.3. Assumption of Risk. By completing a transaction through or facilitated by the Platform, Buyers acknowledge that they are assuming all risk associated with the purchase, including but not limited to the risk that the vehicle may not be as described, may have undisclosed defects or damage, may have title issues, or may not meet the Buyer’s expectations.

 

7.4. No Refund Obligation. JusTrade has no obligation to provide refunds, returns, or exchanges for any vehicle purchased through the Platform. Any disputes regarding the vehicle or transaction are solely between the Buyer and the Seller, subject to the optional arbitration service described in Section 9.

 

8. FEES AND PAYMENTS

8.1. Platform Fees. JusTrade may charge fees for certain services provided through the Platform, including but not limited to listing fees, transaction fees, subscription fees, premium listing upgrades, and fees for optional services. All applicable fees will be disclosed to you before you incur them.

 

8.2. Payment. All fees are due and payable in U.S. dollars in accordance with the payment terms presented at the time of purchase. JusTrade may use third-party payment processors to facilitate payments.

 

8.3. Taxes. You are solely responsible for all taxes, duties, and other governmental charges arising from your use of the Platform and any transactions conducted through the Platform, including but not limited to sales tax, use tax, and title transfer taxes.

 

8.4. Refund Policy. Platform fees paid to JusTrade are non-refundable unless otherwise expressly stated in writing by JusTrade or required by applicable law.

 

8.5. Fee Changes. JusTrade reserves the right to modify its fee structure at any time. Changes to fees will be communicated to you in advance and will apply to transactions or services initiated after the effective date of the change.

 

9. OPTIONAL ARBITRATION AND DISPUTE-RESOLUTION SERVICE

9.1. Availability. JusTrade may, at its sole discretion, offer an optional arbitration and dispute-resolution service (“Dispute Resolution Service”) to assist Buyers and Sellers in resolving disputes arising from transactions conducted through the Platform.

 

9.2. Voluntary Participation. The Dispute Resolution Service is entirely optional and is not a condition of using the Platform. Both the Buyer and the Seller must voluntarily agree to participate in the Dispute Resolution Service for a particular dispute.

 

9.3. Additional Fee. The Dispute Resolution Service is offered for an additional fee, which will be disclosed to both parties prior to their agreement to participate. Fees for the Dispute Resolution Service may be allocated between the parties as determined by JusTrade or the appointed arbitrator.

 

9.4. Scope. The Dispute Resolution Service is limited to disputes arising from the condition, description, or delivery of a vehicle listed and sold through the Platform. It does not extend to disputes regarding payment fraud, criminal conduct, or matters outside the scope of a vehicle transaction.

 

9.5. Non-Binding Nature. Unless both parties expressly agree in writing to be bound by the outcome, determinations made through the Dispute Resolution Service are advisory and non-binding.

 

9.6. No Liability. JusTrade shall not be liable for any outcome, determination, recommendation, or action taken in connection with the Dispute Resolution Service, regardless of whether the determination is binding or non-binding. Participation in the Dispute Resolution Service does not waive either party’s right to pursue remedies in a court of competent jurisdiction (subject to Section 17).

 

10. PROHIBITED CONDUCT

10.1. You agree that you will not, and will not assist or enable any third party to:

 

(a) use the Platform for any unlawful purpose or in violation of any applicable law or regulation;

 

(b) list or sell stolen vehicles, vehicles with concealed liens, or vehicles that you do not have legal authority to sell;

 

(c) engage in odometer fraud, title washing, VIN cloning, or any other form of vehicle fraud;

 

(d) provide false, misleading, or deceptive information in any listing, communication, or account registration;

 

(e) engage in price manipulation, shill bidding, fake offers, or any other deceptive trading practice;

 

(f) harass, threaten, intimidate, or defraud other Users;

 

(g) impersonate any person or entity, or misrepresent your affiliation with any person or entity;

 

(h) circumvent, disable, or interfere with any security, authentication, or access-control features of the Platform;

 

(i) use any automated means (including bots, scrapers, spiders, or crawlers) to access, collect data from, or interact with the Platform without JusTrade’s prior written consent;

 

(j) introduce any virus, trojan, worm, malware, or other harmful code to the Platform;

 

(k) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform;

 

(l) use the Platform to collect, store, or process personal information of other Users for purposes unrelated to a legitimate transaction on the Platform;

 

(m) interfere with or disrupt the Platform, its servers, or the networks connected to the Platform;

 

(n) use the Platform to launder money or finance illegal activities; or

 

(o) violate any provision of these Terms.

 

10.2. JusTrade reserves the right to investigate and take appropriate action against any User who, in JusTrade’s sole discretion, violates this Section, including but not limited to removing listings, suspending or terminating accounts, reporting violations to law enforcement, and pursuing civil remedies.

 

11. INTELLECTUAL PROPERTY

11.1. JusTrade IP. The Platform, including all software, code, design, text, graphics, logos, trademarks, service marks, trade names, domain names, and other intellectual property displayed on or through the Platform (collectively, “JusTrade IP”), is owned by or licensed to JusTrade and is protected by United States and international intellectual property laws. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on any JusTrade IP without our prior written consent.

 

11.2. User Content License. By submitting, posting, or uploading any content to the Platform, including vehicle listings, photographs, descriptions, and reviews (“User Content”), you grant JusTrade a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, display, distribute, and create derivative works of such User Content in connection with operating and promoting the Platform.

 

11.3. User Content Representations. You represent and warrant that you own or have the necessary rights, licenses, and permissions to submit your User Content to the Platform and to grant the license set forth in Section 11.2, and that your User Content does not infringe, misappropriate, or violate any third party’s intellectual property rights, rights of privacy, or rights of publicity.

 

11.4. DMCA. JusTrade respects the intellectual property rights of others. If you believe that your copyrighted work has been copied or used in a way that constitutes copyright infringement, please send a written notice to [Support Email] in accordance with the Digital Millennium Copyright Act (17 U.S.C. Section 512).

 

12. DISCLAIMERS

12.1. AS-IS BASIS. THE PLATFORM AND ALL CONTENT, SERVICES, FEATURES, AND TOOLS PROVIDED THROUGH THE PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

 

12.2. DISCLAIMER OF WARRANTIES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JUSTRADE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

 

(a) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;

 

(b) WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE;

 

(c) ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;

 

(d) ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR DATA PROVIDED THROUGH THE PLATFORM;

 

(e) ANY WARRANTY REGARDING THE CONDITION, QUALITY, SAFETY, LEGALITY, TITLE, HISTORY, MERCHANTABILITY, OR FITNESS OF ANY VEHICLE LISTED ON THE PLATFORM; AND

 

(f) ANY WARRANTY REGARDING THE CONDUCT, IDENTITY, RELIABILITY, OR TRUSTWORTHINESS OF ANY USER.

 

12.3. NO ADVICE. Nothing on the Platform constitutes legal, financial, tax, mechanical, or professional advice. You should consult qualified professionals before making any vehicle purchase or sale decision.

 

12.4. THIRD-PARTY CONTENT. The Platform may contain links to third-party websites, services, or content. JusTrade does not control, endorse, or assume responsibility for any third-party content, websites, or services.

 

13. LIMITATION OF LIABILITY

13.1. EXCLUSION OF DAMAGES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JUSTRADE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE “JUSTRADE PARTIES”) BE LIABLE FOR ANY:

 

(a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

 

(b) LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY;

 

(c) COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; OR

 

(d) DAMAGES ARISING FROM OR RELATED TO ANY VEHICLE LISTED ON OR SOLD THROUGH THE PLATFORM, INCLUDING BUT NOT LIMITED TO VEHICLE DEFECTS, ACCIDENTS, INJURIES, PROPERTY DAMAGE, TITLE DISPUTES, FRAUD, OR MISREPRESENTATION,

 

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT JUSTRADE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

13.2. CAP ON LIABILITY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE JUSTRADE PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO JUSTRADE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

 

13.3. ESSENTIAL PURPOSE. THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION SHALL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, THE LIABILITY OF THE JUSTRADE PARTIES SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

 

14. INDEMNIFICATION

14.1. General Indemnification. You agree to indemnify, defend, and hold harmless JusTrade and its officers, directors, employees, agents, affiliates, successors, and assigns (the “Indemnified Parties”) from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and court costs) (collectively, “Claims”) arising from or related to:

 

(a) your use of or access to the Platform;

 

(b) any listing you create, publish, or maintain on the Platform;

 

(c) any vehicle you list, sell, purchase, or transfer through the Platform, including but not limited to claims related to vehicle defects, mechanical failures, accidents, injuries, death, or property damage;

 

(d) any misrepresentation, inaccuracy, or omission in any information you provide, whether in a listing, account registration, or communication;

 

(e) any transaction between you and another User, including but not limited to disputes over price, payment, delivery, title, condition, warranties, or representations;

 

(f) your violation of these Terms or any applicable law, regulation, or order;

 

(g) your violation of any third party’s rights, including intellectual property rights, privacy rights, or contractual rights;

 

(h) any claim that your User Content caused damage to a third party;

 

(i) your misconduct, negligence, fraud, or willful wrongdoing;

 

(j) any tax, duty, fine, or penalty assessed against JusTrade as a result of your transactions or activities on the Platform; and

 

(k) any claim arising from or related to your use of the Dispute Resolution Service described in Section 9.

 

14.2. Seller-Specific Indemnification. In addition to the general indemnification obligations above, Sellers specifically agree to indemnify the Indemnified Parties from and against all Claims arising from or related to:

 

(a) the condition, quality, safety, legality, or roadworthiness of any vehicle they list or sell;

 

(b) any undisclosed defects, damage, liens, encumbrances, or title issues;

 

(c) any failure to comply with applicable dealer licensing, disclosure, or regulatory requirements; and

 

(d) any personal injury, death, or property damage caused by or attributable to a vehicle they sold through the Platform.

 

14.3. Procedure. JusTrade shall promptly notify you of any Claim for which indemnification is sought (provided that any failure or delay in providing such notice shall not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such failure or delay). You shall have the right to assume the defense of any Claim with counsel reasonably acceptable to JusTrade, provided that JusTrade may participate in the defense with its own counsel at its own expense. You shall not settle any Claim without JusTrade’s prior written consent if the settlement would impose any obligation on JusTrade, require any admission of liability by JusTrade, or result in any payment by JusTrade.

 

14.4. Survival. Your indemnification obligations under this Section shall survive the termination or expiration of these Terms and your cessation of use of the Platform.

 

15. TERMINATION

15.1. Termination by You. You may terminate your account at any time by contacting us at [Support Email] or through the account settings on the Platform. Termination does not relieve you of any obligations incurred prior to termination, including but not limited to outstanding fees, pending transactions, and indemnification obligations.

 

15.2. Termination by JusTrade. JusTrade may suspend, restrict, or terminate your account and access to the Platform at any time, for any reason or no reason, with or without notice, including but not limited to:

 

(a) violation or suspected violation of these Terms;

 

(b) fraudulent, illegal, or abusive conduct;

 

(c) failure to pay applicable fees;

 

(d) request by law enforcement or a governmental authority;

 

(e) extended periods of inactivity; or

 

(f) discontinuation or material modification of the Platform.

 

15.3. Effect of Termination. Upon termination of your account: (a) your right to access and use the Platform shall immediately cease; (b) all active listings shall be removed; (c) any outstanding fees shall become immediately due and payable; and (d) JusTrade may retain or delete your account data in accordance with our Privacy Policy and applicable law.

 

15.4. Surviving Provisions. The following Sections shall survive termination of these Terms: Sections 4 (Marketplace Role), 6.6 (Indemnification by Sellers), 7.3 (Assumption of Risk), 11 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 15.3–15.4 (Effect of Termination, Surviving Provisions), 16 (Governing Law), 17 (Dispute Resolution), and any other provision that by its nature should survive termination.

 

16. GOVERNING LAW

16.1. These Terms and any dispute arising from or relating to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of [Governing Law], without regard to its conflict-of-law principles.

 

16.2. To the extent that any legal proceeding is permitted under these Terms (as set forth in Section 17), you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in [State], and you waive any objection based on inconvenient forum.

 

17. DISPUTE RESOLUTION

17.1. Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact JusTrade at [Support Email] and attempt to resolve the dispute informally for a period of at least thirty (30) days. Most disputes can be resolved through informal negotiation.

 

17.2. Binding Arbitration. If the dispute is not resolved within the thirty (30) day informal resolution period, you and JusTrade agree that any dispute, claim, or controversy arising from or relating to these Terms, the Platform, or any transaction facilitated by the Platform (except as expressly excluded below) shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator, shall take place in [State] (or, at your election, by telephone or videoconference), and shall be conducted in the English language.

 

17.3. Exceptions. The following are excluded from binding arbitration: (a) claims that may be brought in small claims court if they qualify; (b) claims for injunctive or equitable relief to protect intellectual property rights; and (c) claims that applicable law does not permit to be arbitrated.

 

17.4. CLASS ACTION WAIVER. YOU AND JUSTRADE AGREE THAT ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER YOU NOR JUSTRADE SHALL HAVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE OR CONSOLIDATED PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

 

17.5. Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND JUSTRADE WAIVE ANY RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM.

 

17.6. Arbitration Fees. Each party shall bear its own costs and attorneys’ fees in any arbitration proceeding, unless the arbitrator determines that applicable law requires a different allocation or that a party’s claim or defense was frivolous.

 

17.7. Opt-Out. You may opt out of the binding arbitration and class action waiver provisions of this Section 17 by sending written notice to [Company Address] within thirty (30) days of your first use of the Platform. The opt-out notice must include your name, address, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, the Governing Law and jurisdiction provisions in Section 16 shall apply to any dispute.

 

18. CHANGES TO TERMS

18.1. JusTrade reserves the right to modify, amend, or update these Terms at any time, at its sole discretion.

 

18.2. We will notify you of material changes by posting the updated Terms on the Platform with a revised “Effective Date” at the top of this document. For material changes, we may also provide additional notice through the Platform (such as a banner notification) or by email to the address associated with your account.

 

18.3. Your continued use of the Platform after the effective date of any modified Terms constitutes your acceptance of the modifications. If you do not agree to the modified Terms, you must stop using the Platform and may terminate your account in accordance with Section 15.1.

 

18.4. It is your responsibility to review these Terms periodically for changes.

ADDITIONAL PROVISIONS

  1. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.

 

  1. Entire Agreement. These Terms, together with the Privacy Policy and any additional terms or agreements referenced herein, constitute the entire agreement between you and JusTrade with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

 

  1. Waiver. The failure of JusTrade to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver by JusTrade of any provision of these Terms must be in writing and signed by an authorized representative of JusTrade.

 

  1. Assignment. You may not assign, delegate, or transfer these Terms or any of your rights or obligations hereunder without the prior written consent of JusTrade. JusTrade may freely assign these Terms without restriction.

 

  1. Force Majeure. JusTrade shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, or cyberattacks.

 

  1. Headings. The section headings in these Terms are for convenience only and have no legal or contractual effect.

 

  1. Electronic Communications. By using the Platform, you consent to receive communications from JusTrade electronically, including by email and through notices posted on the Platform. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.

 

  1. No Third-Party Beneficiaries. These Terms are for the sole benefit of you and JusTrade and do not create any third-party beneficiary rights.
